Advising Hazel Renewable Energy VCT1 plc and VCT2 plc, in the innovative corporate and debt structuring of the £66 million bond refinancing of their VCT funded solar asset portfolios.

Advising AGR on the corporate and tax structuring of their acquisition of the largest portfolio of consented wind farm sites in the UK, the financing package for the construction of 17 wind farms and their sale along with the development and sale of a 25 MWH peak solar farm.

Advising Earthworm Capital LLP on the launch of their Earthworm Renewable Energy Secured Loans EIS Fund. This Fund invests into four pre-identified, trading companies which will build, own and operate infrastructure assets in the recycling and renewable energy sectors.

Acting as the solicitors and arrangers of the largest VCT merger ever between Downing Distribution VCT 1 plc, Downing Absolute Income VCT 1 plc, Downing Absolute Income VCT 2 plc, Downing Income VCT plc, Downing Income VCT 3 plc, and Downing Income VCT 4 plc, by way of schemes of reconstruction under section 110 of the Insolvency Act 1986.

Providing corporate, regulatory and tax advice in respect of the Offer for subscription by the best performing venture capital trust, a VCT which Roger sponsored to the market in 1997, to raise a total of £20,000,000 by issue of ordinary shares of 1p each.

We acted for BrewDog on the prospectus fundraising of Equity for Punks IV, the largest crowdfunding offer ever for a well-known craft brewery. Equity for Punks aims to raise up to £25 million to invest in the future of the brewery by enhancing resources and expanding the BrewDog reach.

Advising on the corporate, tax and regulatory structuring of the 15th EIS fund by the market leading EIS Fund Manager Calculus Capital, a fund which plans to raise £25 million for deployment in investments offering capital growth, tax mitigation and risk management.

Advising Cosgrove Hall Fitzpatrick on the launch of their SEIS and EIS Media Investment Fund following upon the success of their first EIS funding of PIP Ahoy!, a new pre-school animation show now showing on Channel 5’s Milkshake Show.
